Jon R. Haddan has practiced corporate and securities law in Los Angeles and Orange Counties for more then 25 years, following his graduation from UCLA Law School, where he was a member of the UCLA Law Review. His practice is devoted primarily to the representation of emerging growth and middle market companies. He has extensive experience in all aspects of such representation including licensing, corporate partnering, securities offerings, venture capital and mergers and acquisitions. In addition, he also handles a variety of general corporate and partnership matters. Prior to joining the firm, Mr. Haddan was associated with Sheppard, Mullin, Richter & Hampton, a partner of Hufstedler, Miller, Kaus & Beardsley, both of which are large Los Angeles-based firms with Orange County offices, and a partner in the Orange County office of Cooley Godward, a large firm headquartered in San Francisco. He is a former Chairman of the Business and Corporate Law Section of the Orange County Bar and a former member of the California State Bar's Corporations Code Committee.
Robert J. Zepfel received his law degree from the University of California, Berkeley School of Law (Boalt Hall) in 1977, and has practiced corporate, securities and business law in Orange County for more than 25 years. He specializes in public and private securities offerings, mergers and acquisitions, including reverse mergers, limited liability company formation, venture capital financings, international business transactions, and counseling of corporate management in such diverse areas as technology licensing, distribution arrangements and employee stock programs. He maintains an active practice of assisting publicly traded companies listed on the OTC Bulletin Board and “pink sheets,” and has handled numerous reverse mergers and shell company transactions. Before joining the firm, Mr. Zepfel was a member of the Newport Beach office of Pettit & Martin, a large firm based in San Francisco. He has also been a partner of Hufstedler, Miller, Kaus & Beardsley, and began his career as an associate at Rutan & Tucker in Orange County. He is also a California licensed real estate broker, and is a regular speaker at legal continuing education programs in the areas of business organizations and securities matters.
