Haddan & Zepfel is a small, specialized law firm serving the securities and corporate law needs of Southern California companies on an efficient, cost-effective basis. Each of the firm's attorneys has practiced for years with large Los Angeles, Orange County and San Francisco based law firms, and developed expertise in areas such as corporate and securities law, corporate formation and finance, partnership and limited liability company organization, mergers and acquisitions, venture capital, and general contract law.
We regularly assist our clients in connection with initial and subsequent public offerings and compliance with reporting obligations under the federal securities laws. Our clients include a number of publicly held companies, including NASDAQ and OTC Bulletin Board issuers. The firm also represents a number of smaller companies in efforts to raise capital through private placements, venture capital, corporate partnering, reverse merger and licensing transactions. We regularly represent companies in the medical device. electronics, internet, software, apparel, food and pharmaceutical industries, as well as other manufacturing and service businesses.
One of the principal goals in establishing the firm was to avoid the bureaucracy and high costs associated with the traditional large law firm, while maintaining the quality of service associated with large firms. Accordingly, we strive to deliver quality legal services on a quick and cost-efficient basis, and have avoided the overhead associated with most traditional law firms. We do not add separate charges for items such as word processing, fax transmissions, routine photocopying, long distance telephone charges or many of the other "costs" charged by large law firms. The firm is open to alternative billing arrangements in certain circumstances.
Our goal is to establish long-term relationships with our clients, and we have developed billing structures and operating philosophies we believe are consistent with those of our clients.
